1. Introduction
These terms and conditions govern your use of the weblegs.co.uk website and all services provided by Weblegs, a trading name of Litho Services Ltd (“we”, “us”, “our”). By using our website or engaging our services, you agree to these terms.
2. Services
Weblegs provides Shopify development, migration, marketing, and consultancy services. We also develop and publish Shopify applications through the Shopify App Store. The specific scope of any project will be agreed in writing before work begins.
3. Quotes and Proposals
- All quotes are valid for 30 days from the date of issue unless otherwise stated.
- Quotes are based on the requirements discussed. Changes to scope may result in revised pricing.
- Work begins once a quote or proposal is accepted in writing (including email) and any required deposit is received.
4. Payment Terms
- For project work, a 50% deposit is required before work begins, with the balance due on completion.
- For retainer services, invoices are issued monthly in advance.
- Payment is due within 14 days of invoice unless otherwise agreed.
- Late payments may incur interest at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
5. Client Responsibilities
You agree to:
- Provide timely access to any accounts, assets, or content needed for us to complete the work.
- Provide feedback and approvals within reasonable timeframes to avoid project delays.
- Ensure any content you provide does not infringe third-party intellectual property rights.
6. Intellectual Property
- Upon full payment, you own the custom code, designs, and content created specifically for your project.
- We retain the right to use general techniques, tools, and frameworks developed during the project.
- Third-party themes, plugins, and apps remain subject to their own licence terms.
- We reserve the right to showcase completed work in our portfolio and case studies unless you request otherwise in writing.
7. Shopify Apps
Use of our Shopify applications is subject to the following:
- Apps are provided “as is” and we make no guarantees of uninterrupted availability.
- We may update, modify, or discontinue apps at any time with reasonable notice.
- Free apps may be moved to a paid plan with 30 days' notice.
- Your use of our apps is also subject to Shopify's Terms of Service.
- Data handling for apps is covered in our Privacy Policy.
8. Limitation of Liability
- Our total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific project or service in question.
- We are not liable for any indirect, consequential, or incidental losses, including loss of revenue, data, or business opportunities.
- We are not responsible for issues caused by third-party platforms, hosting providers, or services outside our control (including Shopify platform outages).
9. Warranties and Guarantees
- We warrant that all work will be carried out with reasonable skill and care.
- We provide a 30-day bug fix period after project handover for any defects in our deliverables.
- We do not guarantee specific commercial outcomes (e.g., traffic volumes, conversion rates, or sales figures) unless explicitly agreed in writing.
10. Cancellation and Refunds
- Either party may cancel a project with 14 days' written notice.
- If you cancel, payment is due for all work completed to date.
- Deposits are non-refundable once work has commenced.
- Retainer services can be cancelled with 30 days' written notice.
11. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of a project. This includes business strategies, customer data, and technical implementations. This obligation survives termination of the agreement.
12. Force Majeure
Neither party shall be liable for delays or failure to perform due to circumstances beyond reasonable control, including but not limited to natural disasters, pandemic, internet outages, or platform failures.
13. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Changes to These Terms
We may update these terms from time to time. Changes will be posted on this page with an updated date. Continued use of our website or services after changes constitutes acceptance.
